1. Introduction

  • Welcome to Rapid ITmatch, Inc. (“Rapid ITmatch”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our online candidate board platform (the “Platform”). By accessing and using the Platform, you (“Employer”, “User”, or “Partner”) agree to be bound by these Terms. Please read them carefully before using our services.

2. Eligibility and Account Registration

  • Eligibility: You must be a legally recognized employer or business entity and at least 18 years old to use the Platform.
  • Registration: To access our services, you must register and create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
  • Updates: You agree to promptly update any information that becomes inaccurate or incomplete.

3. Use of the Candidate Board Platform

  • Candidate Listings: The Platform presents candidate profiles submitted by candidates. These profiles are initially displayed in an anonymized form to protect candidate privacy.
  • Access to Full Profiles: Upon purchasing credits/points through our secure payment system, you will be granted access to full candidate profiles—including personal data—which will be delivered to your registered email address.
  • Permitted Use: You may use candidate data solely for evaluating potential employment opportunities and contacting candidates regarding such opportunities.
  • Prohibited Use: You must not disclose, sell, transfer, or otherwise distribute candidate information to third parties or use it for any purposes not expressly permitted by these Terms or our Privacy Policy.

4. Data Privacy and Confidentiality

  • Handling of Candidate Data: You agree to treat all candidate data as confidential and to comply with all applicable data protection and privacy laws.
  • Security Measures: You are required to implement reasonable security measures to protect candidate data from unauthorized access, disclosure, or misuse.
  • Retention and Disposal: Candidate information should be retained only as long as necessary for the recruitment process. Once the data is no longer needed, you must dispose of it securely and in accordance with applicable laws.

5. Payment Terms

  • Credit Purchase: Access to full candidate profiles is contingent upon the purchase of credits or points via our designated payment system.
  • Transaction Security: All transactions are processed securely. Payments are final and non-refundable, except as required by applicable law.
  • Pricing: The pricing structure for credits/points is as displayed on the Platform and may be subject to change at our discretion.

6. Intellectual Property Rights

  • Ownership: All content and software provided on the Platform, including candidate listings and related materials, are the property of Rapid ITmatch or its licensors.
  • License: We grant you a limited, non-exclusive, and non-transferable license to access and use the Platform solely for the intended purpose of recruiting candidates.
  • Restrictions: You are not permitted to copy, modify, distribute, or create derivative works of any content from the Platform without our prior written consent.

7. Limitation of Liability and Disclaimers

  • No Warranty: The Platform is provided on an “as is” and “as available” basis without any warranties, express or implied.
  • Limitation of Liability: In no event shall Rapid ITmatch be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
  • Candidate Data Accuracy: While we strive to ensure the quality of candidate information, we do not guarantee its accuracy, completeness, or timeliness. Employers are solely responsible for verifying candidate qualifications.

8. Indemnification

  • You agree to indemnify, defend, and hold harmless Rapid ITmatch, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from your use of the Platform or breach of these Terms.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, Delaware and the applicable state laws where Rapid ITmatch is incorporated.
  • Dispute Resolution: Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration or in the appropriate state or federal courts located in the relevant jurisdiction.

10. Changes to Terms and Conditions

  • We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.
